Understanding Financial Settlement T+1 / T+2 Rules & Shipping Deadlines
In commercial contracts, securities trading, cross-border freight forwarding, and e-commerce fulfillment, terms like "T+1", "T+2", and "3-5 Business Days" dictate legal and financial commitments. A miscalculation of even 24 hours can trigger late penalty clauses or default notices.
The Shift to T+1 Financial Settlement
In May 2024, the US SEC, Canada, and Mexico officially transitioned equities settlement from T+2 (Trade Date + 2 Business Days) to T+1 (Trade Date + 1 Business Day).
What Counts as a Settlement Day?
- Trading Days vs Banking Holidays: Securities settlement systems (DTCC, Fedwire) close on Federal Reserve holidays (e.g. Columbus Day / Indigenous Peoples' Day, Veterans Day), even when major stock exchanges like NYSE remain open for trading.
- Cut-Off Windows: Trades executed after market close (4:00 PM EST) treat the subsequent business day as Trade Day $T$.
Logistics & Shipping Business Day Calculations
Freight carriers (FedEx, UPS, DHL, USPS) calculate transit time using strict business day arithmetic:
- Day of Dispatch ($T=0$): The pickup date does not count toward transit time.
- Weekend Exclusion: Standard ground shipments skip Saturday and Sunday unless Saturday delivery surcharges are paid.
- Statutory Blackouts: Federal holidays pause sorting facility transfers and delivery trucks.
Example: 3-Day Ground Shipment Picked Up on Thursday before Memorial Day Weekend
- Thursday: Day 0 (Pickup)
- Friday: Transit Day 1
- Saturday / Sunday: Excluded
- Monday (Memorial Day): Excluded Statutory Holiday
- Tuesday: Transit Day 2
- Wednesday: Transit Day 3 -> Delivery Day
